Katché Institute© — Iconic Sessions© and Katché Signature Program© (3 Months)

1. Who We Are & Scope

"Katché Institute" is a trading name under which these Programs are, at the date of these Terms, operated by Fabrice Bonin, trading as VIP CORPORATE CONSULTING [legal form to confirm, e.g. EI/EURL/SASU], registered office at 17 rue d'Epernay, 33700 Mérignac, France, SIRET 501 782 908 00039, intra-Community VAT number FR13 501782908, APE/NAF code 70.22Z, telephone +33 6 25 72 90 32, email contact@katcheinstitute.com ("Katché Institute", "we", "us", "our"), and any individual who registers interest in, applies to, or books a place on an Iconic Session©, the Katché Signature Program© (3 Months), or the Iconic VIP Member offer (together, the "Programs") ("Participant", "you", "your"). [Placeholder] Katché Institute is not, as of this date, itself a registered legal entity separate from VIP CORPORATE CONSULTING; should a dedicated entity be incorporated for this activity, these Terms will be updated to name it as the contracting party.

As this contracting entity is established in France, these Terms are governed by French law, in particular the French Consumer Code (Code de la consommation) and the French Civil Code (Code civil), without prejudice to any mandatory consumer-protection provisions of your country of habitual residence, where applicable under EU law.

2. Waitlist & Pre-Registration (No Sale Yet)

As of the "Last updated" date below, Katché Institute is not yet accepting bookings or payments for any Program: the website currently operates on a pre-registration ("waitlist") basis only, as described on the Register Your Interest page.

Submitting the waitlist form does not create a contract of sale, does not reserve a place on any Session or Program, and does not commit you to any payment. It allows Katché Institute to contact you once registration formally opens, to gauge interest in specific dates, cities and artists, and, where you have opted in, to send you updates as described in Section 11 (Personal Data & Privacy).

References on the website to "Founding Member Pricing," early access, or similar reflect current intent only and do not constitute a binding offer within the meaning of Article 1114 of the Civil Code. Final pricing, availability and booking conditions will be confirmed when registration opens and will be governed by Sections 3 to 10 below.

Sections 3 to 10 describe the Terms that will govern bookings once online registration and payment become available. They are published in advance, for transparency, ahead of that launch.

3. Registration & Payment

[Placeholder] Once registration opens, a booking for an Iconic Session© or the Katché Signature Program© will be confirmed upon receipt of a non-refundable deposit of [X]% of the total price, with the balance due no later than [X] days before the start of the Session or Program. In accordance with Article L112-1 of the Consumer Code, all prices shown to consumers will be inclusive of applicable VAT (TTC). Accepted payment methods will be [payment methods to be defined]. A written order confirmation will be sent to you on a durable medium (email), as required by Article L221-15 of the Consumer Code, together with access to your Katché member account.

4. Right of Withdrawal

For distance contracts, French and EU consumer law ordinarily grants a 14-day right of withdrawal (Article L221-18 of the Consumer Code). However, this right does not apply to contracts for accommodation, transport, car rental, catering, or leisure activities to be supplied on a specific date or period, pursuant to Article L221-28, 4° of the Consumer Code.

Because Iconic Sessions© and the Katché Signature Program© are delivered on specific, fixed dates, bookings for these Programs are not eligible for the standard 14-day withdrawal right. This will be stated clearly before payment, and you will be asked to expressly acknowledge it. Instead, cancellations are governed exclusively by the contractual Cancellation & Refund Policy set out in Section 5.

5. Cancellation & Refund Policy

[Placeholder] As Programs are not subject to the statutory withdrawal right (Section 4), the following contractual cancellation and refund tiers will apply once bookings open, based on notice given before the Session or Program start date — to be defined and confirmed by Katché Institute, for example:

  • More than [X] days before: refund of amounts paid, minus the deposit
  • Between [X] and [X] days before: [X]% refund
  • Less than [X] days before, or no-show: no refund

[Placeholder] If Katché Institute cancels or postpones a Session or Program (including due to artist unavailability), Participants will be offered a full refund or transfer to a future Session or Program, at their choice.

[Placeholder] Travel/cancellation insurance is strongly recommended and remains the Participant's responsibility, particularly given the specific-date exclusion described in Section 4.

6. What's Included / Not Included

The service sold by Katché Institute is limited to access to the educational and musical coaching Session (or the Katché Signature Program©, as applicable): coaching, workshop access, and access to the All Stars Jam Session, as detailed on the corresponding destination page for the pricing option chosen.

Not included, and never billed by Katché Institute: accommodation, daily lunches, international flights, visa fees, travel/cancellation insurance, and personal expenses. These are arranged directly between the Participant and Katché Institute's hotel, Studio and Club partners, as described in Section 10. The treatment of evening meals, including the closing Jam Session dinner, depends on the pricing option selected — see Section 10.3 and the relevant destination page.

7. Program Changes & Force Majeure

[Placeholder] Katché Institute reserves the right to modify the schedule, replace a featured artist with one of comparable standing, or change the Studio venue for reasons beyond its reasonable control, while preserving the overall quality and spirit of the Session or Program. Where an event of force majeure occurs — as defined by Article 1218 of the Civil Code, i.e. an event beyond Katché Institute's reasonable control, unforeseeable at the time of booking, and whose effects cannot be avoided by appropriate measures — the relevant obligations will be suspended, and Katché Institute's liability and any compensation due will be limited as described in this Section; final wording to be confirmed by legal counsel.

8. Image & Recording Rights

[Placeholder] Participants acknowledge that photo and video recording will take place throughout the Session or Program, including during the All Stars Jam Session. In accordance with Article 9 of the Civil Code (right to one's own image), Participants grant Katché Institute a limited, revocable license to use resulting images for promotional purposes (website, social media, press), unless they opt out in writing before the Session or Program begins. This consent may be withdrawn at any time for future use by contacting contact@katcheinstitute.com. Participants may request a copy of their own personal performance footage as described on the relevant pricing option. Where a Participant is a minor, prior written consent from a parent or legal guardian is required.

9. Health, Safety & Liability

[Placeholder] Participants confirm that they are in adequate health to take part in the Program and undertake to disclose any condition relevant to their safe participation. Katché Institute maintains professional civil liability insurance [insurer and policy number to be confirmed] covering its activities as organizer. In accordance with French law, liability may not be excluded or capped for death or personal injury caused by Katché Institute's negligence, nor for gross negligence (faute lourde) or willful misconduct (dol). Subject to this, and to the extent permitted by law, liability for other losses is limited as described in this Section — exact scope and caps, together with any risk-acknowledgment appropriate to the physical nature of certain activities, to be defined with legal counsel.

10. Accommodation, Meals & Partner Venues

10.1. Accommodation and group cohesion. The service sold by Katché Institute covers exclusively access to the educational and musical coaching Session. To encourage group cohesion and simplify logistics, Katché Institute recommends a partner hotel. Participants remain entirely free to choose their own accommodation arrangements. Three options are available at the time of registration:

  • Option 1 — Participant alone at the recommended hotel. The Participant books and pays the hotel directly. Using the promotional code supplied via the Organizer's platform (e.g. a Shopify code) gives access to the preferential rate negotiated for the event.
  • Option 2 — Participant with a spouse/companion at the recommended hotel. The Participant books and pays a double or adapted room directly with the hotel, also using the negotiated promotional code.
  • Option 3 — Independent accommodation. The Participant does not use the Organizer's recommended hotel and books accommodation of their choice by their own means.

In every case, Katché Institute does not at any point handle the final reservation, take payment for, or otherwise manage hotel nights. Accommodation costs are paid directly to the hotel. Katché Institute accepts no responsibility for the conditions of stay, booking disputes, or any incident occurring at the hotel.

10.2. Daily lunches. Lunches during the 5 days of the Session are not included in the registration price. They are organized, managed and invoiced to Participants directly by the Studio hosting the event, under its own terms of sale. Katché Institute does not handle this financial flow and is not responsible for the catering provided by the Studio.

10.3. Dinners and closing night (Jam Session). Dinners are optional and at each Participant's own expense throughout the Session. As an exception, the closing evening is built around a dinner organized at a partner Club; access to this evening is open to Participants and their spouse/companion. All meals and drinks for this evening are invoiced and collected directly by the host Club from each guest. The host Club operates this evening under its own professional civil liability insurance (RC Pro) and is solely responsible for the safety of the premises, food hygiene, and service; Katché Institute cannot be held liable for any incident, commercial dispute, or food-related illness arising during this evening. Where a specific pricing option is advertised as including this dinner, the applicable payment arrangement for that option will be confirmed separately and should be made consistent with this Section before publication.

Because Katché Institute does not sell, book, or collect payment for accommodation, meals or beverages — and only recommends independent partners paid directly by Participants — this structure is intended to fall outside the "package travel" regime under Directive (EU) 2015/2302 and the French Tourism Code (Code du tourisme).

11. Personal Data & Privacy

[Placeholder] Katché Institute, as data controller, processes personal data collected through the waitlist form and, once available, the registration and booking process (including, where required for travel or venue access, identity documents) in accordance with Regulation (EU) 2016/679 (GDPR) and the French Data Protection Act of 6 January 1978, as amended. This data is used to manage the waitlist, organize Sessions and the Program, manage your Katché member account, and, where you have consented, send marketing communications; it is not shared with third parties beyond what is strictly necessary to deliver the Program (e.g. Studio, venue, payment processor), and is retained only for as long as necessary for these purposes. Katché Institute does not transmit Participant data to hotel or restaurant partners, as accommodation and meals are booked and paid for directly between the Participant and those partners (see Section 10).

You have the right to access, rectify, erase, restrict, or object to the processing of your data, and to data portability, by contacting contact@katcheinstitute.com. You also have the right to lodge a complaint with the French data protection authority (CNIL, www.cnil.fr). A full Privacy Policy, detailing legal bases, retention periods and any international data transfers, will be published separately before registration opens.

12. Intellectual Property

Katché Institute©, Iconic Sessions©, and Katché Signature Program© are distinctive signs and content protected under the French Intellectual Property Code (Code de la propriété intellectuelle). Any reproduction, representation or use of these signs, or of the website's content, without Katché Institute's prior written consent is prohibited.

13. Consumer Mediation & Dispute Resolution

[Placeholder] In accordance with Article L616-1 of the Consumer Code, before bringing any judicial action, any consumer dispute not resolved directly with Katché Institute (via contact@katcheinstitute.com) may be submitted free of charge to the consumer mediator [mediator name and contact details to be appointed]. EU residents may also use the European Commission's Online Dispute Resolution platform.

14. Governing Law & Jurisdiction

[Placeholder] These Terms are governed by French law. Any dispute that cannot be resolved amicably or through the mediation described in Section 13 will be submitted to the courts of [city where Katché Institute's registered office is located], without prejudice to any mandatory right you may have, as a consumer resident in another EU Member State, to bring proceedings before the courts of your own country of residence.

15. General Provisions

[Placeholder] If any provision of these Terms is found invalid or unenforceable, the remaining provisions will continue in full force. These Terms constitute the entire agreement between the Participant and Katché Institute regarding the Programs, superseding any prior communication on the same subject. Katché Institute may update these Terms from time to time; the version in force at the time of booking will apply to that booking.
